Terms of Service

These Terms of Service explain the contract between you and Greenhouse Grove Ltd, company number registered in the United Kingdom. By requesting a quotation, placing an order, or engaging our services you accept these terms. They apply to design, supply, installation, commissioning, maintenance and related consultancy provided in the United Kingdom. For bespoke agreements the applicable contract will reference these terms and may include project specific terms agreed in writing. If there is any conflict between your purchase order and these terms we will notify you and confirm the contract terms in writing before starting work. Quotations, orders and commencement of work

Quotations are provided in writing and are valid for the period stated on the quotation. Unless otherwise stated a quotation is valid for 30 days. A contract is formed when we issue a written order confirmation, or when works commence following an accepted quotation. Project start dates are indicative until an order is confirmed and any agreed deposit is received. We will notify you of any practical requirements, site access needs and utility arrangements required for installation. Where planning, permits or local approvals are required these are the customer responsibility unless explicitly included in the quotation. Additional works arising from site conditions not reasonably foreseeable at the time of quotation may be charged as variations. Variations will be agreed in writing before additional work proceeds. We reserve the right to refuse service where payment or credit arrangements cannot be agreed.

Prices, payment and delivery

Prices are shown exclusive of VAT and any applicable taxes. Where goods are supplied, delivery dates are estimates and not guaranteed. Risk in supplied goods passes to the customer on delivery to the agreed delivery point. Ownership of goods remains with Greenhouse Grove until full payment is received. Payment terms will be stated in the quotation and invoice. For installation projects staged payments, deposits and retention may apply. Late payments may incur interest at a reasonable commercial rate and we may suspend work until outstanding amounts are settled. For bespoke orders and certain suppliers we require a non-refundable deposit to secure materials and production slots. Clients are responsible for providing clear and accurate billing information. If unforeseen events such as supplier delays, extreme weather or force majeure affect delivery or installation timelines we will notify you and propose revised schedules. Additional costs arising from access issues or incorrect site information may be charged as extras with prior agreement.

Cancellation, returns and refunds

For standard products purchased directly from stock you have a right to cancel within 14 days of delivery where the goods are unopened and in resalable condition. Returns require our authorisation and return carriage may be charged. Custom made products, bespoke glazing or specially ordered items are non-returnable unless faulty. For services, cancellation policies will be stated in project terms. If you cancel work after we have ordered bespoke materials or mobilised installation teams you may be liable for costs reasonably incurred up to the cancellation date. Refunds for cancelled orders will be processed after deduction of costs and within a reasonable period. Where goods are faulty and the fault is reported within the applicable warranty period we will repair or replace the faulty component, or at our discretion offer a refund. We aim to resolve valid issues promptly and in accordance with warranty terms supplied with goods or services.

Liability, warranties and insurance

We provide goods and services with reasonable care and skill. Warranties for supplied goods are those offered by the manufacturer and details are provided at the point of sale or in the warranty documentation. Our workmanship warranties are limited and will be specified in the contract. Except where prohibited by law, our total liability arising from breach of contract, negligence or other tort is limited to the price paid for the relevant goods or services. We are not liable for indirect or consequential losses such as lost production, lost profits or business interruption. Customers must maintain adequate insurance for existing assets and for operations during installation works. Where we are required to work alongside third party equipment or systems you must confirm those items are safe and compliant with applicable regulations. It remains your responsibility to obtain any necessary consents, permissions or insurances for site works unless stated otherwise in the contract.

Intellectual property and content

All designs, drawings and intellectual property produced by Greenhouse Grove remain our property unless otherwise agreed in writing. We grant you a licence to use design documents for the purpose of implementing the project for which they were created. Reuse of drawings or designs for other projects, or transfer to third parties, requires written permission. Photographs and marketing materials created by us may be used for promotional purposes; if you have confidentiality concerns please notify us prior to project commencement so we can agree appropriate nondisclosure arrangements. Where third-party intellectual property is incorporated into supplied goods we pass on the rights and guarantees subject to the supplier terms and any limitations of those third parties. You must not reproduce our website content, logos or design assets without prior written consent.

Privacy, data and security

We handle personal data in accordance with our Privacy Policy available at /privacy/. Personal data collected for quotations, contracts, installations and aftercare is used only for the purposes set out in the Privacy Policy and to fulfil our contractual obligations. We use reasonable technical and organisational measures to safeguard personal data. Where you provide special instructions about data handling please notify us in writing so we can assess compliance and any impact on service delivery. For any data subject rights requests contact [email protected]. We will cooperate with lawful requests from public authorities but will contest requests that do not meet legal standards.

Governing law and dispute resolution

These Terms and any contract formed with Greenhouse Grove are governed by the laws of England and Wales. For customers in the United Kingdom, the courts of England and Wales have exclusive jurisdiction for disputes unless otherwise agreed in writing. We aim to resolve disputes amicably through direct contact, and will consider mediation or other alternative dispute resolution before litigation where appropriate.
